KLVF Terms and Conditions of Membership

Section A: Release of Liability, Assumption of Risk, and Indemnification

1. Assumption of Risk. By executing this Agreement and participating in the activities, events, programs, and services of the Kristin Linklater Voice Foundation, Inc. (the "Organization"), the Member acknowledges and agrees that participation involves certain inherent risks, including but not limited to property damage, personal injury, illness, or death. The Member knowingly, freely, and voluntarily assumes all such risks, both known and unknown, associated with their membership and participation in Organization activities.

2. Release and Waiver of Liability. To the maximum extent permitted by law, the Member, on behalf of themselves and their heirs, executors, administrators, and assigns, hereby releases, waives, acquits, and forever discharges the Organization, its directors, officers, employees, volunteers, agents, and representatives (collectively, the "Released Parties") from any and all claims, demands, causes of action, damages, losses, or liabilities of any kind arising out of, relating to, or resulting from the Member’s membership or participation in any Organization-sponsored events or activities. This includes, without limitation, claims arising from the negligence of the Released Parties, whether passive or active, but excludes claims resulting from gross negligence or willful misconduct.

3. Indemnification. The Member agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, losses, damages, costs, and expenses (including, but not limited to, reasonable attorneys' fees and court costs) arising out of or resulting from:

  • (a) The Member’s breach of this Agreement;

  • (b) The Member’s participation in Organization activities; or

  • (c) Any injury, damage, or harm caused by the Member to any third party or property during Organization events.

4. Acknowledgement of Understanding. The Member certifies that they have read this section carefully, fully understand its terms, and understand that they are giving up substantial legal rights, including the right to sue the Organization and its representatives. The Member acknowledges that they are accepting this Agreement freely and voluntarily.

Section B: Website Use and Digital Terms

1. Permitted Use. The Member is granted a non-exclusive, non-transferable, revocable right to access and use the Organization’s official website, member portals, and online communities (collectively, the "Website") strictly in accordance with this Agreement. The Member agrees to use the Website solely for lawful purposes related to their membership.

2. Prohibited Conduct. The Member explicitly agrees not to:

  • (a) Post, upload, or distribute any content that is defamatory, obscene, harassing, infringing on intellectual property, or otherwise unlawful;

  • (b) Use the Website to solicit other members for unrelated commercial purposes, political campaigns, or unauthorized external causes without the express written consent of the Board;

  • (c) Share their member login credentials with any third party or attempt to bypass the Website's security infrastructure;

  • (d) Introduce any viruses, trojan horses, worms, or other malicious or technologically harmful materials into the Website. The Organization reserves the right, at its sole discretion, to terminate the Member's access to the Website and/or revoke their membership for violations of this section.

3. Digital "As-Is" Disclaimer. The Website and all information, content, and materials made available through it are provided on an "as-is" and "as-available" basis. The Organization makes no warranties, express or implied, regarding the security, reliability, availability, or accuracy of the Website.

Section C: Severability

1. Severability.  If any provision of this Membership Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the offending provision shall be severed from this Agreement. The invalidity, illegality, or unenforceability of any single provision shall not affect the validity, legality, or enforceability of any other provision of this Agreement, all of which shall remain in full force and effect.
